Financial Post- Elon Musk launches $41.39 billion hostile takeover of Twitter

The world’s richest man will offer US$54.20 per share in cash, representing a 54 per cent premium over the Jan 28. closing price and a value of about US$43 billion. The social media company’s shares soared 18 per cent.

In a letter to Twitter’s board, Musk said he believes Twitter “will neither thrive nor serve [its free speech] societal imperative in its current form. Twitter needs to be transformed as a private company.”

The takeover is unlikely to be a drawn out process. “If the deal doesn’t work, given that I don’t have confidence in management nor do I believe I can drive the necessary change in the public market, I would need to reconsider my position as a shareholder,” said Musk.

      1. Something else is going on here.
        I don’t think Musk could acquire Twitter at any price.
        As it stands Twitter’s costs for data per month run as a guestimate around $ 1 billion per month.
        It generates in revenue max about a little over $ 5 billion per year.
        It loses money.
        The only entity that could tolerate those kind of loses year after year would be , the American Federal Government with a bottomless maw of tech and financial resources.
        In essence Twitter is a product of the Feds as are all the other major woke social platforms.
        They are designed to hover up your data and guide social norms the way that THEY want.
        No way are they going to allow Musk to get hold of any of the major platforms or allow Musk to shine a light on WHO really runs Twitter.

    I don’t know what’s going on here, but I’m not counting on Elon to restore free speech to the western world.

  11. Who are the current Twitter shareholders? Are they holding stock simply for financial reasons or are they activists bent on changing the world by censoring free speech?

    Musk obviously thinks it’s better and more efficient to take down Twitter’s current management than to create a start-up competitor from scratch.

    How will Musk be able to ensure that censorship by the government won’t ultimately ruin his plan of creating a truly free speech platform?

      Yeah, I struggle with that, too. Millionaires & billionaires rarely do anything that doesn’t include a healthy ROI, or tax break, or something. It’s the nature of the beast & one of the reasons they’re successful. Sure they might get bored now & then, and stir the pot, but there’s always a financial reason behind it.

Solar City was created to develop solar power for a Mars colony. SpaceX exists to reduce the cost of getting to Mars. Starlink is dual: paying for everything else, and setting up for worldwide internet on Mars. There’s a theme here.

        He could have retired after selling PayPal, and just spent the rest of his life banging supermodels. Instead he decided to go to Mars 20 years ago, and almost everything he’s done since has been with that goal in mind.

    Musk gave Babylon Bee a full length interview where he discussed a wide range of topics and exhibited his own terrific sense of humour. Well worth a look.

    Twitter recently censored Babylon Bee for nominating Biden Administration’s transgender HHS Secretary, Rachel Levine, as man of the year. This seems to have triggered Musk. He spoke to Babylon Bee’s CEO prior to buying Twitter stock.

    There are plenty of interviews out there where Musk has clearly stated that he developed Tesla EV’s for the personal novelty to do so, and an alternative for consumers. Nothing whatsoever to do with global warming, purely an inventors ambition to invent.

    But I think that he took that position as the fraud of AGW became apparent to a greater portion of the population.

    There is a certain symbiosis between the radical lefts green agenda and Musk and Tesla’s popularity, and both sides do little to rock that boat.

    there is nothing at all environmentally friendly about EVs, and likely they are actually worse for the environment.

    Musk knows this but is happy to profit while the getting is good, and the radical left has assisted him in that outcome.

    My point is musk is not a Puritan, but an opportunist. It might work out to benefit humanity, but that would be a side benefit.

    1. Sure, I’ve never personally had an issue with opportunists that make billions if they have the wherewithal to ethically do so. You are probably correct that Musk used whatever convenient promotional platform that helped launch his project.

      In that though he has never claimed to have invented the Tesla based on environmentalism, that was purely the Progressive Left taking his creation and using it for their own political means. Now they find out he’s not a soulmate in their agenda, oh well to bad so sad for them.

      As a footnote – President Abraham Lincoln despised slavery, but he also didn’t approve of black and whites living equally in society. He wanted to abolish slavery but return the slaves and their descendants to Africa, or create an independent state for them to live. That said today the Progressive Left champions Lincoln as one of their great Liberal cause hero’s whilst tearing down statues of others.

  19. Come on, people. Musk bought 9% of the company the other day. Today he anounces a takeover and the shares went up 18%. Tomorrow he will announce the deal fell through and he sold all his shares. Off he goes to the next deal, a few hundred million dollars richer. This is just a stock pump and dump.

      Musk is unpredictable but not stupid. What I think is going on is a Xanatos Gambit: if he successfully executes the takeover – which should happen, there’s nothing legitimate preventing it – then he kicks off a war with the entire progressive left, including the governments of the United States and most Western nations. If he’s blocked, he’s pulled off the mother of all pump and dumps and forced the US government to prove they’re in bed with Twitter, since they’d have to step in and screw with the takeover.

      Of course, successfully taking over Twitter and then going to war with the US government means he’d better have a really good defense-in-depth plan. Big Social is their weapon and they’re not going to let some tyro take it away from them.

    The offer doesn’t seem fantastic to me, so I would expect the offer to be rejected but that will only further the process. Going to be entertaining if nothing else.

    Does anyone even know that the shares offered, that Musk is bidding on, are essentially the same as a jug of milk in the local grocery store. I can’t recall when I’ve ever heard of a committee of cows needed to approve the sale of milk.

    If one of the other social media giants were to show interest would the government approve the deal? Even if they did, would the almost certain Republican majorities in the next congress let the deal stand?
